1. Read this before using Midas Alpha

This Risk Disclosure is part of, and is incorporated into, the Terms of Service. By using the Midas Alpha service ("Service") you confirm that you have read and understood the risks set out in this document.

Nature of the Service. Midas Alpha is operated as a personal project by an individual on a private, invite-only basis. Subscription fees represent shared operating costs among invited members. It is not a commercial investment-advisory service and you should not expect the consumer protections, capital reserves, professional indemnity, insurance, complaint-resolution mechanisms, or regulatory oversight that apply to licensed securities firms, banks, mutual funds, or investment advisers in Thailand. If those protections matter to you, use a licensed and regulated service instead.

If you do not understand these risks, do not use the Service to make any investment decision. Consult a licensed financial adviser, accountant, and lawyer first.

2. The Service is educational — it is not advice

  • The Service publishes information about trading strategies, including signals, model performance, and commentary.
  • The Service is not investment advice, financial planning, asset management, or a recommendation to buy, sell, or hold any security.
  • The Operator is not a licensed investment adviser, securities firm, broker, or fund manager under the Securities and Exchange Act B.E. 2535 of Thailand or any other law.
  • The Operator does not know your individual financial situation, objectives, risk tolerance, time horizon, or tax position, and does not consider them when publishing.
  • Every investment decision is yours, and you are solely responsible for it.

3. Trading involves risk of loss — possibly total loss

  • All trading and investing involves risk.
  • You can lose some or all of the capital you commit, including more than your initial investment in leveraged or margin trades.
  • Past, present, or projected results — yours or anyone else's — do not guarantee or predict future results.
  • Markets can move sharply, unpredictably, and against you. Liquidity can disappear. Brokers can fail. Trading systems can break.

4. Hypothetical model performance — important caveats

When we display performance figures (win rate, profit factor, total return, P&L, position size, etc.) for "Strategy A", "Strategy B", "Strategy C", or any model portfolio:

  • The figures are hypothetical, derived from a model portfolio computed by the Operator's software.
  • They reflect what would have happened if a hypothetical investor had executed every signal at the published price, with no slippage, no commissions, no taxes, no missed signals, no broker outages, no time-zone delays.
  • Real trading is messier than the model. You will miss signals. You will execute at worse prices. You will pay commissions, spreads, and taxes. Your broker may reject orders. Network latency will cost you basis points.
  • You should expect your real results to be materially worse than the model's hypothetical results. Plan for that gap.
  • The model has not been independently audited.

5. Signal source risk

Some strategies displayed on the Service ("Strategy A", "Strategy B", "Strategy C") are interpretations of publicly available third-party signals that the Operator parses, normalises, and re-publishes.

  • The third-party source may discontinue, change, or err in its signals at any time.
  • The Operator does not control, audit, or guarantee the third-party signals.
  • Translation from a third-party signal to a normalised form may introduce errors.
  • Signals may arrive late or not at all due to network conditions, parsing failures, or third-party outages.

6. You execute on your own broker

  • The Service does not place orders for you, hold your money, or have access to your brokerage account.
  • If you choose to act on a signal, you execute the trade yourself on the broker of your choice.
  • The Operator has no relationship with your broker, no visibility into your account, and no ability to assist if your broker errs.
  • The Operator does not endorse any particular broker.

7. Position-sizing math is informational, not prescriptive

When the Service displays a "Copy size" — e.g., Copy size: 8% of account — that figure is computed from inputs you provided (your logged portfolio size, your strategy allocation, your dollar-per-point setting). It is arithmetic, not a recommendation.

  • If your logged inputs are stale, wrong, or unrepresentative, the computed size will be wrong.
  • You are responsible for keeping your inputs accurate.
  • The displayed size is rounded. Real share counts must conform to your broker's order rules (lot size, minimum order, fractional-share support).

8. Tax, accounting, and reporting

  • The Service does not provide tax advice.
  • Trading profits, losses, dividends, and foreign-currency gains may be taxable in Thailand and possibly elsewhere depending on your circumstances.
  • Tax treatment of fractional shares, US-listed securities, and crypto assets may differ from local-listed securities.
  • You are solely responsible for filing, paying, and documenting your taxes. Consult a Thai tax adviser.

9. Technology and operational risk

  • The Service depends on third-party infrastructure (hosting, databases, messaging) which may fail or be delayed.
  • Signals may be lost, duplicated, or arrive out of order.
  • Your Telegram, email, or device may fail to receive a notification.
  • We use commercially reasonable measures to keep the Service available but do not guarantee uptime, delivery, or correctness.
  • You should not depend on the Service for any time-critical decision. If a signal does not arrive, do not assume it was not published.

10. Concentration, leverage, and exotic instruments

  • Concentrating your portfolio into a small number of signals or one strategy materially increases risk of large loss.
  • The Service does not advise on diversification. Sizing math is computed per-signal and does not consider correlation between your positions.
  • Do not use leverage based on the Service. Models are computed on a cash basis. If you trade on margin, your results, drawdowns, and risk of forced liquidation are not what the model shows.
  • The Service is not designed for options, futures, perpetual swaps, or other derivative instruments. If you trade these based on Service content, you do so at your own risk.

11. No guarantees of any kind

The Operator makes no warranty, representation, or guarantee, express or implied, that:

  • Any signal will be profitable
  • Any strategy will continue to perform as it has historically
  • The Service will be uninterrupted, accurate, timely, or complete
  • Any third-party broker, exchange, or counterparty will perform as expected
  • Trading on the Service will be suitable for you

12. Liability is limited

Per the Terms of Service, the Operator's aggregate liability to you for all claims is capped at the subscription fees you paid in the prior twelve (12) months. The Operator is not liable for trading losses, lost profits, tax liabilities, or any decision you or any third party makes based on the Service. See Terms of Service Section 7 for full text.

13. If you are unsure — stop

If anything in this document is unclear, if you cannot afford to lose what you would trade, or if you are relying on the Service for income — do not use the Service to make trades. The Service is for educational use by individuals who already understand market risk and have the means to bear losses.
