0. About this document
These Terms of Service ("Terms") govern your use of the Midas Alpha service ("Service") operated by Gun Rodwong, an individual sole proprietor in Thailand ("Operator", "we", "us"), contact email gun.rodwong@gmail.com.
Nature of the Service. Midas Alpha is operated as a personal project by an individual on a private, invite-only basis. Subscription fees represent shared operating costs (infrastructure, data) among invited members and not a commercial fee for investment-advisory services. The Service is not a commercial product, securities-advisory service, or financial-services business.
By accessing or using the Service you accept these Terms. If you do not accept them, do not use the Service.
1. Eligibility and geographic scope
1.1. The Service is offered exclusively to residents of the Kingdom of Thailand who are at least 20 years of age and have full legal capacity to contract under Thai law.
1.2. You represent that you reside in Thailand and that your use of the Service does not violate any law applicable to you. We may block access from outside Thailand and may terminate accounts found to be outside Thailand.
1.3. The Service is not offered to residents of the United States, the European Economic Area, the United Kingdom, or any other jurisdiction whose securities or consumer-protection laws would require us to register or obtain licences we do not hold.
2. Nature of the Service — NOT investment advice
2.1. The Service publishes educational information about model trading strategies, including signals (purchases, sales, position changes), commentary, and historical model performance.
2.2. The Service is not investment advice, financial planning, asset management, brokerage, or a recommendation to buy, sell, or hold any security or other financial instrument. The Operator is not a licensed investment adviser, securities firm, broker, or fund manager under the Securities and Exchange Act B.E. 2535 or any other Thai law.
2.3. No fiduciary relationship is created between you and the Operator. The Operator does not know your financial situation, investment objectives, risk tolerance, tax situation, or other circumstances, and does not consider them when publishing signals.
2.4. You are solely responsible for every investment decision you make, whether or not it is informed by content from the Service. Before acting on any signal or content, you should consult a licensed financial adviser, accountant, and/or lawyer.
2.5. No execution by the Service. The Service does not place orders on your behalf, does not hold custody of your assets, and does not have access to your brokerage account. If you choose to mirror a signal, you execute the trade yourself, on your own broker, at your own risk.
3. Account, subscription, and payment
3.1. Account. You sign in via Google OAuth. You are responsible for keeping your Google account secure. You must provide accurate information and notify us of changes.
3.2. Subscription. Access to certain features (e.g., real-time signals) requires a paid subscription billed monthly or annually via Stripe. Pricing is shown at the point of purchase.
3.3. Billing cycle and renewal. Subscriptions renew automatically at the end of each billing period at the then-current price until cancelled.
3.4. Cancellation. You may cancel at any time from your dashboard. Cancellation takes effect at the end of the current billing period; you retain access until then.
3.5. Refunds. Subscription fees are non-refundable except where required by Thai consumer-protection law.
3.6. Tax. Prices are inclusive of VAT where applicable. You are responsible for any other taxes arising from your use of the Service.
4. Acceptable use
You agree not to:
(a) reverse-engineer, scrape, mirror, or republish signals or model-performance data outside your personal use;
(b) share your account with others, sell access, or use the Service to operate a competing signal service;
(c) use the Service for any unlawful purpose, including market manipulation, front-running, or insider trading;
(d) attempt to circumvent rate limits, paywalls, geofencing, or security controls;
(e) upload malicious code, attempt to gain unauthorised access, or interfere with the Service.
Violation may result in immediate suspension or termination without refund.
5. Intellectual property
5.1. All content of the Service — signals, model-performance data, software, designs, text, and branding — is the property of the Operator or its licensors and is protected by Thai and international copyright and trade-mark law.
5.2. You receive a personal, non-exclusive, non-transferable, revocable licence to access and use the content for your individual non-commercial use during your subscription.
5.3. Strategies labelled "Strategy A", "Strategy B", "Strategy C" reflect publicly available third-party signals that the Operator interprets, normalises, and re-publishes. The underlying third-party strategies remain the property of their respective publishers.
6. No warranties
6.1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
6.2. We do not warrant that signals will be accurate, timely, complete, profitable, or fit for any particular purpose. Model performance figures are hypothetical, do not reflect actual trading, and may differ materially from results you would achieve.
6.3. We do not warrant that the Service will be uninterrupted, error-free, secure, or free from delays. Signals may be delayed by network conditions, third-party outages, or our own failures.
7. Limitation of liability
7.1. To the maximum extent permitted by Thai law, the Operator's total aggregate liability to you for any and all claims arising from or related to the Service is limited to the amount of subscription fees you actually paid to the Operator in the twelve (12) months preceding the event giving rise to the claim.
7.2. The Operator is not liable for (a) trading losses, (b) lost profits or opportunity, (c) tax liabilities, (d) consequential, incidental, special, or punitive damages, (e) decisions you or any third party make based on the Service, or (f) acts or omissions of third parties (brokers, payment processors, infrastructure providers).
7.3. Nothing in this clause limits liability for fraud, gross negligence, wilful misconduct, or any liability that cannot lawfully be excluded under Thai law.
8. Indemnification
You agree to indemnify and hold harmless the Operator from any claim, liability, loss, or expense (including reasonable legal fees) arising from (a) your use of the Service, (b) your breach of these Terms, (c) your violation of any law, or (d) trades you execute or fail to execute based on the Service.
9. Term, suspension, and termination
9.1. These Terms apply from the moment you first use the Service until terminated.
9.2. We may suspend or terminate your access at any time, with or without notice, for breach of these Terms or for any reason we reasonably consider necessary to protect the Service or other users.
9.3. You may terminate at any time by cancelling your subscription and ceasing to use the Service.
9.4. Sections 2, 5, 6, 7, 8, 10, 11, and 12 survive termination.
10. Changes to the Service or these Terms
10.1. We may modify the Service at any time, including adding or removing features.
10.2. We may amend these Terms by posting a new version at the same URL and notifying registered users by email at least thirty (30) days before the change takes effect. Continued use after the effective date constitutes acceptance.
10.3. If you reject material changes, your sole remedy is to cancel your subscription before the changes take effect. Pro-rata refunds for unused portions of pre-paid annual plans will be granted in this case.
11. Governing law and dispute resolution
11.1. Governing law. These Terms are governed by the laws of the Kingdom of Thailand, without reference to conflict-of-law rules.
11.2. Arbitration. Any dispute, controversy, or claim arising out of or in connection with these Terms or the Service shall be finally settled by arbitration administered by the Thailand Arbitration Center (THAC) under the THAC Arbitration Rules in Bangkok, Thailand, in the English language, before one (1) arbitrator appointed in accordance with those rules.
11.3. Class-action waiver. All disputes shall be resolved on an individual basis. You waive any right to bring or participate in any class, collective, or representative action.
11.4. Interim relief. Nothing prevents either party from seeking interim or injunctive relief from a Thai court of competent jurisdiction in aid of arbitration.
12. Miscellaneous
12.1. Entire agreement. These Terms, together with the Privacy Policy and Risk Disclosure, constitute the entire agreement between you and the Operator regarding the Service.
12.2. Severability. If any provision is held unenforceable, the remaining provisions remain in full force.
12.3. No waiver. Failure to enforce any provision is not a waiver of future enforcement.
12.4. Assignment. You may not assign these Terms. We may assign them to a successor entity or in connection with a sale of the Service.
12.5. Notices. Notices to you may be given by email to your registered address. Notices to us must be sent to gun.rodwong@gmail.com with subject line beginning "LEGAL NOTICE".
12.6. Language. The English version of these Terms is the governing version. If a Thai translation is provided for convenience, the English version controls in case of conflict.
Acceptance. By clicking "I Agree" during sign-in, by paying any subscription fee, or by using the Service, you confirm that you have read, understood, and accepted these Terms, the Privacy Policy, and the Risk Disclosure.
